Energy is one of the most important and fast changing industrial sectors. The Energy team is at the forefront of this sector, providing clients with advice on matters relating to power and utilities, transmission and distribution, renewable energy, oil & gas and climate change.

Our clients recognize our reputation for delivering complex, innovative, cross border transactions. Such transactions form the foundations of our clients’ strategic aspirations as global energy and natural resources markets evolve and cross border activity and interdependence increase. With our detailed understanding of the commercial environment in which our clients operate we are ideally placed to help our clients achieve their aims.

We cover the full spectrum of Energy work, including mergers and acquisitions, financing, dispute resolution, project development, construction, operation and maintenance contracts, competition and regulatory, tax, commercial and trading contracts and general commercial and corporate advice.

We are distinguished by our in-depth understanding and experience of each sector of the infrastructure market. Our areas of expertise include, roads, airports, rail, bridges, health, education and telecommunications. Our market leading experience means we are the firm of choice to advise sponsors, lenders, contractors and governments on their most complex and innovative infrastructure and public-private partnerships (PPP) projects in Kenya and the East African Region.

KO has acted for infrastructure project sponsors, lenders, and contractors on:

  • Legal and regulatory frameworks for public procurement and complex tenders;
  • Drafting and negotiating concession agreements, offtake contractual agreements and other long term contractual arrangements with state owned enterprises;
  • Structuring complex debt and equity financing arrangements; and
  • Negotiating and drafting commercial contracts.

A significant focus of the firm’s projects and real estate practice is the representation of real estate developers, investors and lenders in numerous development projects locally and throughout the region, including office buildings, shopping centers, hotels and luxury apartments.

Our team advises leading developers, funders and occupiers on all types of projects in some of the market’s most significant development transactions.

We understand the concerns and requirements of both public and private sector participants in the development process.

We aid State Corporations who regularly procure contracts under the Public Procurement and Asset Disposal Act 2015 or contractors bidding for those contracts to go through the tender processes seamlessly. Our highly-regarded team acts for clients in delivering effective and compliant procurements, and structuring projects lawfully within the scope of the procurement rules.

We advise clients and other international stakeholders on the commercial implications of East African Community Treaty ranging from the four fundamental freedoms (free movement of people, goods and capital and the freedom to provide services) to more diverse areas such as health and safety and the environment. We also work with the East African Community Secretariat to come up with regulations that are favourable to all Partner States. We also give our recommendations to various stakeholders on how best to implement the provisions of the Treaty.
